Good citizens of the great state of Nevada,
Having lived most my life as a US citizen of frigid and dull Michigan, I am planning to move back to the states soon. Portland, Seattle and Las Vegas are my final three considerstions meeting the requirments of an activity full city, good for new small businesses, not frigid in thje winter and relitivly safe for a major city. Vegas is very atractive but I do not think it is a place to raise kids, so Henderson may be my alternative having the same butifull housing, views and landscaping with very afordable apartments that atracted me for rent

Last week a veteran real estate professional asked me how to purchase notes at closing without being considered a lender and actually funding the deal.

The term "simultaneous closing" is really a misnomer when referring to a seller selling his property using owner financing, then immediately selling the note. Let’s first clarify that knowledgeable Note Buyers do not fund real estate purchases for several reasons. Two of the most important reasons are:

1. Note Buyers do not want to be classified as lenders and be subject to SEC and Banking regulations and requirements.

2. The Note Buyer does not want to be subject to usury laws that govern lenders.

To make sure we do not fall into any of these categories, we make sure first there is a closing on the purchase of the property. This means the warranty deed is signed by the seller, the note and deed of trust are signed by the buyer, hazard insurance is issued making the property seller a loss payee, and mortgagee insurance is issued in the property seller’s name.

When the purchase and closing are completed, the Note Buyer will then purchase the note. In a nutshell, this means the property seller, which is now the legal note holder, will endorse the note and assign the deed of trust to the Note Buyer. The Note Buyer will then inform the insurance company to be added to the hazard insurance as the mortgagee loss payee. The mortgagee insurance will also pass to the Note Buyer.

There is often confusion at title companies, even with an experienced closer, when note "simultaneous closings" are in the closing phase.

The confusion comes when there are underlying liens on the property. >From a title company’s point of view, they are not going to insure title, not to mention issue a mortgagee insurance policy, when the underlying lien has not been paid. What is the solution?

Once you know the process of what is really happening, the closing is really quite simple. The solution is to write the contract to where the seller is selling the property and wrapping the underlying note. The title company closer can then close the sale and transfer the property on the wrap. This means the warranty deed has been signed, as well as the note and deed of trust has been signed. The Note Buyer will then purchase the wrap. When purchasing the wrap, the underlying lien will be paid off, and the seller will receive the balance.

For illustrative purposes, let’s assume a house sells for $100,000 with a $50,000 first lien. The purchase contract states that the owner will finance the $100,000 purchase price, and wrap the $50,000 underlying note. Let’s say the Note Buyer will purchase the $100,000 note for $80,000.

At closing, the buyer signs a note and deed of trust. The seller signs over the deed. The sale of the property is complete. Now the Note Buyer will purchase the $100,000 note for $80,000. With the proceeds, the $50,000 underlying note is paid, and the seller receives the $30,000 balance.

Now everybody is a happy camper. The seller got his equity, the buyer got a house, the Note Buyer got a quality note, and most importantly, the title company can justify transferring the property without using the Note Buyer’s money to do it.

Bear in mind, there are some who believe this transaction is really just a loan in disguise, and will not purchase the note until a month later. So as usual, be sure to check with competent legal and tax advisors.

Nilson Matta Biography

Nilson Matta has long been considered one of Brazil’s best bass players. Since his arrival in New York in 1985 he has become the first call of many of the top US musicians. Nilson studied bass at the Federal University of Rio de Janeiro (UFRJ) with Sandrino Santoro, Brazil’s premier classical bass player. While in Brazil he played with such top artists as João Gilberto, Hermeto Pascoal, Chico Buarque de Holanda, Nana Caymmi, João Bosco, Johnny Alf, Nivaldo Ornellas, MPB-4, Helio Delmiro, Luis Bonfa, and many others.

In 1983 Nilson was invited to Japan to perform with singer Lisa Ono. Together they spent a year promoting Brazilian music. In 1984, while with drummer Pascoal Meirelles, Nilson founded the fusion band Cama De Gato.

Nilson moved to New York City in 1985. Since that time he has performed and recorded with such renowned artists as Joe Henderson, Paquito D’Rivera, Slide Hampton, Herbie Mann, Mark Murphy, Oscar Castro Neves, Don Friedman, Paul Winter, Claudio Roditi, Gato Barbieri, Yo Yo Ma, Kenny Barron and many others.

Five years after his move to the States, he co-founded an extraordinary quintet, The African Brazilian Connection, with pianist Don Pullen.
This group released three critically acclaimed CDs for Blue Note Records: Kele Mou Bana, Ode to Life and Live at Montreux Jazz Festival.

In 1993 Nilson returned to Brazil to record the CD, The Magic, with the great composer and guitarist Luis Bonfa.

Along with fellow Brazilians, Romero Lubambo and Duduka da Fonseca, Nilson founded Trio da Paz, one of the foremost Brazilian Jazz groups in the world. The trio has recorded five CDs; Brazil from the Inside, Black Orpheus, Partido Out, Café and Somewhere. Their third release, Partido Out, won the 2002 Jazz Journalists Association Award for “The Best Brazilian Jazz Album of the Year”.

From 1995 till 1998, Matta worked extensively with four time Grammy Award winning saxophonist Joe Henderson, recording on the Grammy award winning 1997 CD Joe Henderson Big Band for Verve Records.

In 2000 Nilson recorded his first CD as a leader, Encontro, with harmonica player Hendrik Meurkens.

With jazz pianist Kenny Barron he recorded a CD Canta Brasil and toured in Europe and USA.

In 2003 and 2004 he recorded 2 CDs with the virtuoso cellist Yo Yo Ma, Obrigado Brasil and Live at Zankel Hall (Carnegie Hall). Both were Grammy Awards winners.

Nilson recently performed on Nancy Wilson’s CD, Turned to Blue for MCG Jazz with tenor sax player George Garzone for Venus Records in Japan.

In September 2006, Nilson released a CD for Blue Toucan Music, Nilson Matta Friends - Walking With My Bass. It’s a kind of autobiography project with a wide range of guests. Among them are Joao Bosco, Ivan Lins, Kenny Barron, Harry Allen, Rosa Passos, Robertinho Silva, Mauricio Einhorn, Joyce, Helio Alves, Filo Machado, Vic Juris and others.

Since 1997 Nilson teaches bass at Bass Collective in New York City
And at Montclair University in New Jersey.
